What the case should include
Situation: A PE fund is considering acquiring a mid-market company ($150–500M revenue range). Pick any sector you know well — industrials, healthcare services, software, consumer are all good choices.
The case should show:
- How a consultant structures a PE commercial due diligence (CDD)
- Market sizing and growth rate assessment for the target's core market
- Competitive positioning analysis (customer concentration, switching costs, moat)
- Revenue quality assessment (recurring vs transactional, customer cohort analysis)
- Value creation levers: revenue growth, margin expansion, multiple expansion
- Simplified LBO math: entry multiple (8–10x EBITDA is current market), debt structure, 5-year exit assumptions, IRR sensitivity
- Key risks and how a consultant would flag them
- Final recommendation: proceed / proceed with conditions / pass

Ideal contributor
Anyone with PE, investment banking, or consulting experience on buy-side diligence projects. You don't need to use a real company — a realistic fictional scenario is fine.
